Recently, a Delaware state court ordered a successful private company, TransPerfect, to be broken up and sold. This decision sends the message to other businesses that Delaware - a state where over 60% of Fortune 500 Companies are incorporated - is a bad place to establish a business, and we can’t let that happen.
SCR 91 is a resolution that will encourage the Delaware State Bar Association, its Corporation Law Section, and the Council of that Section, to examine the State’s business entity laws with an eye towards maintaining balance, efficiency, fairness, and predictability. SCR 91 will protect our profitable, successful companies from being broken up.
